Stockholder structure
As ThyssenKrupp AG has issued bearer shares, we have no knowledge of the names of our stockholders and the amounts of voting interests they hold. However, stockholder surveys carried out with the aid of external service providers and depositary banks can help us obtain a picture of the stockholder structure at a given date.
In addition, under the Securities Trading Act (WpHG), stockholders are obligated to inform the Company and the Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht) when the amount of their voting interest changes related to specified thresholds.
Further, the total number of invitations to our Annual General Meetings sent out by the banks provides additional information on stockholder numbers.
On the basis of these sources, we can provide the following information on our stockholder structure as per March 31, 2010:
- ThyssenKrupp has more than 250,000 stockholders.
- The Alfried Krupp von Bohlen und Halbach Foundation, Essen holds 25.33% of the voting rights in ThyssenKrupp AG.
- At the corresponding reference date ThyssenKrupp AG held 50,623,835 treasury shares or around 9.8% of the capital stock.

80% of the capital stock of ThyssenKrupp AG is held by institutional investors and investors with larger stockholdings. Private investors hold 10% of the capital stock.

At 61.3%, German-based investors hold almost two thirds of the capital stock. Internationally, shareholders in North America represent the largest group with almost 10.0% of the capital stock. 9.4% is held in the UK/Ireland. At 8.7%, investors in the rest of Europe account for marginally lower amount – the most prominent countries here are France and Switzerland.
